Welcome to Citewave (“Citewave,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your use of the Citewave website, application, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms.
1. Overview of the Service
Citewave is an online platform that provides AI-powered tools for content analysis, citation tracking, visibility scoring, and blog generation/publication for video creators. The Service may integrate with third-party providers for payment processing, AI models, and data storage.
2. Eligibility
You must be at the age of digital consent in your jurisdiction and have the authority to enter into these Terms. If you use Citewave on behalf of a business, you represent that you have authority to bind that entity.
3. Accounts and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. We may suspend or terminate accounts that violate these Terms or misuse the Service.
4. Subscriptions and Payment
Citewave offers paid subscription plans. By subscribing, you authorize us to charge recurring fees through our payment processor. All fees are non-refundable except as required by law.
5. Acceptable Use
You agree not to misuse the Service, including attempting to reverse engineer, bypass usage limits, upload unlawful content, or interfere with system integrity. Users must not use Citewave Services with content that is:
- Illegal or promotes illegal activities
- Infringing on intellectual property rights
- Harmful, threatening, or discriminatory
- Involving adult content, gambling, or hazardous substances
- Misleading, false, or involved in scams
6. Intellectual Property
Citewave retains all rights to its software, algorithms, branding, and platform content. You retain ownership of content you submit, but grant us a limited license to process it solely to provide the Service. Users must ensure they have the necessary rights to the video content submitted to Citewave for its Services. The User is responsible for the accuracy and legality of their content and will indemnify Citewave against any legal claims related to the content they create.
7. AI-Generated Output
Citewave uses AI systems to generate insights and content. Outputs may be inaccurate or incomplete. You are responsible for reviewing and validating all results before use.
8. Service Availability, Data Loss, and Discontinuation
While Citewave strives to ensure uninterrupted service, we cannot guarantee that the service will always be available, error-free, or that defects will be corrected.
You acknowledge that data loss, corruption, delay, or unavailability may occur as a result of software bugs, system errors or malfunctions, maintenance, outages, security incidents, failures of third-party services or infrastructure, force majeure events, or other causes beyond our reasonable control.
We reserve the right, at any time and for any reason, to modify, suspend, or discontinue the Services (in whole or in part), with or without notice. Upon any such modification, suspension, or discontinuation, we may permanently delete or render inaccessible any data associated with your account, and we have no obligation to maintain, store, or provide access to such data.
You are solely responsible for exporting and maintaining independent backups of any data you submit to or generate through the Services.
To the maximum extent permitted by law, we shall not be liable for any loss of data, loss of use, loss of business, or cost of data restoration arising from the unavailability, malfunction, suspension, or discontinuation of the Services, whether accidental or intentional, and regardless of the cause.
9. Termination
You may cancel your subscription at any time. We may suspend or terminate access for violations of these Terms or non-payment.
10. Data Retention and Deletion
If your subscription is canceled or expires, we may retain your account data for a limited period of time to allow you to reactivate your subscription and recover your data.
If you do not reactivate your subscription within a reasonable period after cancellation or non-payment, we reserve the right to delete or permanently anonymize your account data, including analyzed content and generated outputs, unless retention is required by law.
We are not responsible for data loss resulting from account inactivity or failure to maintain an active subscription. You are responsible for exporting or backing up your data prior to cancellation.
11. Changes to Terms
Citewave may update these Terms and Conditions from time to time. Users are encouraged to review these terms periodically for any changes. The date these terms are last updated are shown on top of this page.
12. Refunds and Cancellations
Services provided by Citewave are generally non-refundable. Users should contact us for inquiries regarding refunds or service issues.
13. Disclaimers and Limitation of Liability
The Service is provided “as is.” To the fullest extent permitted by law, Citewave disclaims all warranties and limits liability to the amount paid by you in the three months preceding the claim.
14. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
